Affiliate Agreement

1.Eligibility & Enrollment

To participate in the Program, you must be at least 18 years old and legally able to enter into a binding contract. You must provide accurate information when enrolling, including a valid Solana wallet address for payouts. We may approve or decline any application, and may suspend or remove any Affiliate, at our discretion. You are responsible for keeping your account and payout details current and accurate.

The Program is void where prohibited by law. You are responsible for ensuring that your participation complies with all laws and regulations applicable to you, including in your jurisdiction.

2.Free to Join

Participation in the Program is free. There is no purchase, subscription, or payment required from you to become an Affiliate. You earn commission only when users you refer become paid subscribers of MQSolbot, as described below.

3.Referral Links & Tracking

Upon enrollment, you will receive a unique referral link or code tied to your account. Referrals are tracked through this link. When a user begins through your referral link, that user may be attributed to you for the purpose of calculating commissions.

Attribution is determined solely by our tracking system. We do not guarantee that every referral will be tracked or attributed, and we are not responsible for failed attribution caused by user behavior, third-party software, browser or device settings, ad blockers, or technical factors outside our control. Our records are the final and authoritative basis for determining referrals and commissions.

4.Commission & Rates

You may earn recurring commission on qualifying paid subscription payments made by users you refer, for as long as those subscriptions remain active and in good standing, subject to this Agreement.

• Standard rate: the base recurring commission rate offered to Affiliates, as published in the Program materials.
• Holder rate: a higher recurring commission rate available to Affiliates who meet and maintain the applicable token-holding eligibility requirement. The current requirement and verification method are made available within the Program. Eligibility for the holder rate is assessed at each payment cycle, and your rate for a given cycle reflects your eligibility at that time.

Commission rates are calculated on the net amount actually received and confirmed by us for a qualifying subscription payment, after any payment-processor fees, network fees, refunds, discounts, or chargebacks. We reserve the right to change commission rates and Program terms as described in Section 13.

5.Qualifying Commissions

A commission is earned only when all of the following are true:

• The referred user became a confirmed, paid subscriber of MQSolbot. Free trials, unpaid sign-ups, and cancelled or failed payments do not earn commission.
• The payment was successfully received, confirmed, and settled to us.
• The referral was validly attributed to you through our tracking system.
• The referral and payment do not violate this Agreement, including the prohibited-conduct rules in Section 8.

You may not earn commission on your own subscription or on payments made by you, by accounts you control, or by anyone acting in coordination with you to generate commissions. Self-referrals are not permitted.

6.Payouts in SOL

Approved commissions are batched and paid monthly in SOL to the Solana wallet address associated with your account. We may apply a minimum payout threshold; balances below the threshold roll forward to the next cycle until the threshold is met.

You are solely responsible for providing and maintaining a correct, secure, and compatible Solana wallet address. Crypto transactions are irreversible. We are not responsible for, and cannot recover, payouts sent to an incorrect, outdated, incompatible, or compromised address that you provided. Payouts may be delayed by clawback windows, verification, suspected fraud, or factors outside our control.

7.Clawbacks & Adjustments

If a subscription payment underlying a commission is refunded, reversed, disputed, charged back, or otherwise determined to be invalid, the associated commission is forfeited and may be deducted from your current or future balances. If a commission was already paid out on a payment that is later reversed or found to be fraudulent or in violation of this Agreement, you agree that we may offset the amount against future commissions or recover it by other lawful means. We may withhold or delay commissions during review of suspected fraud or abuse.

8.Prohibited Conduct

You agree not to do any of the following in connection with the Program. Violations may result in forfeiture of commissions and immediate termination:

• Make false, misleading, exaggerated, or unsubstantiated claims about MQSolbot, including any guarantee of trading profits, financial returns, or specific results.
• Present MQSolbot as financial, investment, or trading advice, or imply that it provides such advice.
• Spam, including unsolicited bulk messages, comment spam, or unwanted DMs, in any channel.
• Use deceptive, fraudulent, or artificial means to generate clicks, sign-ups, trials, or subscriptions, including bots, fake accounts, incentivized fake conversions, or self-referrals.
• Impersonate MQSolbot, MemeQuake, Genesis Nomad Inc., or our team, or imply an official, employment, or partnership relationship beyond being an Affiliate.
• Register domains, social handles, or app names that are confusingly similar to our brands, or bid on our brand or trademark terms in paid advertising without our written permission.
• Promote MQSolbot alongside, or in connection with, unlawful, hateful, harassing, sexually explicit, or otherwise objectionable content.
• Violate any applicable law, regulation, or third-party platform's terms (including Telegram, X/Twitter, and advertising networks).
• Misrepresent the terms of the subscription, pricing, the free trial, or the affiliate offer.

9.Use of Brand & Materials

We grant you a limited, non-exclusive, revocable, non-transferable license to use the MQSolbot name, logo, and approved promotional materials solely to promote MQSolbot under this Agreement. You must use brand assets as provided, without altering them in a misleading way, and you must stop using them upon termination. All intellectual property in MQSolbot, MemeQuake, and related brands remains ours. This Agreement grants no ownership rights.

10.Taxes

You are solely responsible for determining, reporting, and paying any taxes, duties, or levies arising from commissions you earn, including any tax consequences of receiving payment in cryptocurrency. We do not provide tax advice and do not withhold taxes on your behalf unless required by law. You may be required to provide tax information where applicable.

11.Crypto Acknowledgement

Commissions are paid in SOL, a cryptocurrency whose value fluctuates and can change significantly between the time a commission is calculated, paid, and converted. You acknowledge and accept this volatility. We are not responsible for changes in the value of SOL, for the SOL-to-fiat value at any point in time, or for losses arising from holding, transferring, or converting SOL. The fiat-denominated examples shown in Program materials are illustrative only and are not a promise of value.

12.Term & Termination

This Agreement begins when you enroll and continues until terminated. Either party may terminate participation in the Program at any time, for any reason, with or without notice. We may suspend or terminate your participation immediately if we believe you have violated this Agreement or engaged in fraud or harmful conduct.

Upon termination, your referral links will be deactivated and you must stop promoting MQSolbot and using our brand assets. Commissions that are validly earned, approved, and not subject to clawback as of the termination date will be paid in the ordinary course, subject to any applicable minimum threshold and review. Commissions tied to fraud or violations are forfeited.

13.Changes to the Program

We may modify, suspend, or discontinue the Program, or change commission rates, eligibility requirements, payout terms, or this Agreement, at any time. We will make reasonable efforts to communicate material changes, such as by updating this page or notifying Affiliates through the Program. Changes apply going forward and take effect when posted unless stated otherwise. Your continued participation after changes take effect constitutes acceptance. If you do not agree to a change, your remedy is to stop participating.

14.Disclaimers & Limitation of Liability

The Program is provided "as is" and "as available," without warranties of any kind. We do not guarantee any minimum earnings, conversions, referrals, uptime, or tracking accuracy. To the maximum extent permitted by law, Genesis Nomad Inc. and its affiliates are not liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits or lost crypto value, arising from the Program. Our total aggregate liability to you in connection with the Program will not exceed the total commissions actually paid to you in the three months preceding the event giving rise to the claim. Nothing in this Agreement limits liability that cannot be limited under applicable law.

15.Relationship of the Parties

You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or franchise relationship. You have no authority to make commitments on our behalf, and you may not represent that you do.

16.General

This Agreement, together with the documents it incorporates, is the entire agreement between you and us regarding the Program. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement; we may assign it. This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles, and you agree to the exclusive jurisdiction of the courts located there, except where applicable law provides otherwise.
